Terms and Conditions
Effective date: 3 November 2026
1. About these terms
These Terms and Conditions govern your use of the OrbitWeb Studio website and any website, software, mobile application, automation, artificial intelligence, consulting or related digital service that OrbitWeb Studio agrees to provide. “OrbitWeb Studio”, “we”, “us” and “our” refer to the OrbitWeb Studio service. “Client”, “you” and “your” refer to the person or organisation purchasing or using our services.
By submitting a checkout, accepting a quotation, making a payment or instructing us to begin work, you confirm that you have authority to act for the Client and agree to these terms together with the accepted proposal, quotation or project scope.
2. Services and project scope
Our services include landing pages, business websites, custom software, mobile applications, AI agents, integrations, automation, hosting support and related professional services. The exact deliverables, timetable, assumptions and price for a project are those recorded in the applicable plan, proposal, quotation or written confirmation.
Anything outside the agreed scope is a change request. We will explain any effect on price or delivery time and obtain approval before carrying out chargeable additional work.
3. Client responsibilities
You must provide accurate contact and business information, lawful instructions, timely feedback, approvals, access credentials and content needed for the project. You confirm that you have the right to use all names, text, images, data, trademarks and other materials supplied to us.
Delivery dates may move when required information, content, access or approval is delayed. You remain responsible for reviewing deliverables, maintaining appropriate internal controls and deciding whether a solution is suitable for your operations.
4. Prices, payment and Paystack
Prices are shown in South African rand unless stated otherwise. Payments made through this website are processed by Paystack under its own terms and security controls. OrbitWeb Studio does not receive or store your complete card details.
A once-off plan covers the deliverables stated for that plan. A price described as monthly covers the applicable monthly service period. The current online Business checkout processes the initial monthly payment; automatic recurring billing applies only if separately confirmed and configured in writing.
Work may begin after cleared payment, an agreed deposit or another written payment arrangement. Overdue amounts may result in reasonable suspension of work or hosted services after notice.
5. Delivery, feedback and acceptance
We aim to perform services with reasonable care and skill and to communicate unavoidable delays. Drafts and staging versions are supplied for review. You must provide consolidated feedback within the period agreed for the project.
A deliverable is considered accepted when you approve it in writing, use it in production, or do not report a material scope-related issue within a reasonable review period stated in the project communication. Acceptance does not remove rights that cannot lawfully be excluded.
6. Intellectual property
You retain ownership of materials you supply. Unless a proposal states otherwise, ownership of bespoke final deliverables created specifically for you transfers after all related invoices are paid in full. OrbitWeb Studio retains ownership of pre-existing know-how, reusable components, internal tools, templates and general methods.
Open-source software, fonts, stock assets, platforms and other third-party materials remain subject to their respective licences. You grant us permission to use your supplied materials only as reasonably required to provide the services.
7. AI, third-party platforms and hosting
AI-generated results may be incomplete or inaccurate and should be reviewed by a person before being relied on for important business, legal, medical, financial or safety decisions. We do not guarantee a particular output from third-party AI systems.
Services may depend on hosting providers, app stores, messaging platforms, APIs, Paystack or other third parties. Their availability, policies, prices and technical changes are outside our direct control. We will take reasonable steps to communicate material effects on your solution.
8. Confidentiality and personal information
Each party must protect confidential information received from the other and use it only for the project or as required by law. We process checkout and project information to administer payments, communicate with you, deliver services, prevent misuse and maintain necessary business records.
Do not send production personal information, passwords or confidential datasets unless the project requires them and appropriate safeguards have been agreed.
9. Cancellation and refunds
You may ask to cancel a project by contacting us in writing. Any refund or cancellation charge will be determined under our Refund Policy, the work already completed, non-recoverable third-party costs and applicable South African law.
OrbitWeb Studio may terminate or suspend services for material breach, unlawful use, non-payment or conduct that creates a security risk, after reasonable notice where circumstances allow.
10. Quality concerns and remedies
If a deliverable does not materially match the agreed scope, tell us promptly and provide enough detail to reproduce the issue. We will assess it and, where appropriate, correct the affected work within a reasonable time. Nothing in these terms limits a consumer’s non-waivable right to quality service or an applicable remedy under South African law.
11. Liability
To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, loss of anticipated profit, or loss caused by matters outside reasonable control. OrbitWeb Studio is not responsible for loss caused by unlawful client content, unauthorised credential sharing, unapproved third-party changes or use contrary to supplied guidance.
Any limitation applies only to the extent allowed by law and does not exclude liability or statutory rights that cannot lawfully be excluded.
12. Governing law and disputes
These terms are governed by the laws of the Republic of South Africa. Before starting formal proceedings, the parties should first try in good faith to resolve a dispute through written discussion. Consumers may also use any regulator, ombud, tribunal or court available to them under applicable law.
13. Changes and contact
We may update these website terms when our services, technology or legal obligations change. The effective date above identifies the current version. Changes do not retrospectively alter an accepted project scope unless agreed or required by law.
Contract and project notices may be sent to orbitwebrsa@gmail.com. General questions may be sent to orbitwebrsa@gmail.com.
South African legal framework
These terms are intended to operate consistently with the Consumer Protection Act 68 of 2008 and the Electronic Communications and Transactions Act 25 of 2002.
